Terms of Service

These Terms of Service govern your use of Smart Retail POS Pro — the offline-first point of sale and retail management software. Please read them carefully before using the software.

1. Acceptance of Terms

By downloading, installing, or using Smart Retail POS Pro (the "Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not download, install, or use the Software.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Smart Retail POS Pro ("Company", "we", "us", or "our"), governing your use of the Smart Retail POS Pro point of sale software application, including all features, functionality, updates, and associated cloud synchronization services.

By creating an account or activating the Software, you confirm that you are at least 18 years of age, or that you have obtained parental or legal guardian consent to agree to these Terms on your behalf.

2. Software License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and run Smart Retail POS Pro on a single Windows-based computer for the purpose of managing point of sale transactions, inventory, customer records, and related retail business operations.

This license does not grant you any right to resell, redistribute, sublicense, rent, lease, or lend the Software. All rights not expressly granted herein are reserved by Smart Retail POS Pro.

You may install the Software on one device per license. Additional licenses are required for each additional terminal or device in your retail operation.

3. Free Trial Period

Smart Retail POS Pro offers a complimentary 14-day free trial beginning from the date of account activation and email verification. During the trial period, you are granted full access to all features and modules of the Software at no cost.

Upon expiration of the trial period, access to the Software will be restricted unless you purchase a subscription. Your data will remain intact on your local device and will not be deleted upon trial expiration.

No credit card is required to start the free trial. You may cancel your trial at any time without obligation.

4. Permitted Use & Restrictions

You may use Smart Retail POS Pro solely for lawful retail business operations including but not limited to point of sale billing, inventory tracking, customer and supplier ledger management, staff and payroll administration, and sales analytics.

You agree NOT to:

  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Software
  • Modify, adapt, or create derivative works based on the Software
  • Use the Software for any illegal, fraudulent, or unauthorized commercial activity
  • Circumvent, disable, or interfere with any security, licensing, or authentication mechanism
  • Install the Software on more devices than permitted by your license tier
  • Share your account credentials, license keys, or authentication tokens with third parties
  • Use automated tools, bots, or scripts to access the Software or its cloud services in an unauthorized manner

5. User Accounts & Registration

To use Smart Retail POS Pro, you must register an account by providing a valid email address, full name, and phone number. Email verification is required to activate your account and begin the free trial period.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account by contacting our support team.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for an extended period exceeding 12 consecutive months.

6. Data Ownership & Sovereignty

Your Data Belongs to You

Smart Retail POS Pro operates on an offline-first architecture. All your business data is stored locally on your device using SQLite. We never access, sell, or share your business data with third parties.

You retain full ownership and control of all data you input into the Software. Smart Retail POS Pro acts solely as a data processor and does not claim any ownership rights over your business data.

You may export, migrate, or delete your data at any time using the built-in backup and export features. Upon account termination, you will have a 30-day grace period to export all your data.

7. Cloud Sync & Supabase Services

Smart Retail POS Pro offers optional cloud synchronization powered by Supabase, enabling you to back up your data and access it across multiple devices. Cloud sync is an opt-in feature and is not required for core POS functionality.

All data transmitted to Supabase is encrypted in transit using TLS 1.3 and at rest using AES-256 encryption. Row-Level Security (RLS) policies ensure that only you can access your synchronized data.

Cloud sync availability depends on Supabase service uptime, which we do not guarantee to be uninterrupted. We are not liable for data loss caused by Supabase service outages.

8. Payments, Billing & Refunds

Paid subscription plans are billed according to the pricing displayed on our website at the time of purchase. We accept payments through cryptocurrency (via NowPayments), PayPal, and local payment methods as available in your region.

Refund Policy:

  • Refund requests within 7 days of purchase will be reviewed on a case-by-case basis
  • No refunds are provided after 7 days from the date of purchase
  • Cryptocurrency payments are non-refundable due to the irreversible nature of blockchain transactions
  • Refunds, if approved, will be processed within 14 business days to the original payment method

All prices are displayed in USD unless otherwise specified. We reserve the right to modify pricing with 30 days advance notice.

9. Termination & Account Cancellation

You may terminate your account at any time by contacting our support team. Upon termination, your cloud-synced data will be retained for 30 days, after which it will be permanently deleted.

Local data on your device remains under your control and is not affected by account termination. Your license will be deactivated, and the Software will cease to function on your device.

No partial refunds will be issued for unused subscription periods beyond the 7-day refund window. We reserve the right to suspend or terminate accounts that violate these Terms.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Smart Retail POS Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.

Our total cumulative liability to you for all claims shall not exceed the total amount you have paid to us during the 12 months preceding the event giving rise to the claim.

This limitation applies regardless of the legal theory on which the claim is based.

By continuing to use Smart Retail POS Pro, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These Terms may be updated from time to time, and your continued use of the Software after such changes constitutes acceptance of the revised Terms.
